These Terms of Service ("Terms") govern your use of Green Law Automator, operated by Sagacity Technology Group LLC ("Company," "we," "us," or "our"), accessible at greenlawautomator.com. By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Green Law Automator is a per-filing SaaS platform that automates the extraction, normalization, and generation of energy compliance reports required under Boston's Building Emissions Reduction and Disclosure Ordinance (BERDO 2.0). Each filing includes:

• AI-powered extraction of energy data from uploaded utility bills
• Normalization of consumption data into kBTU and Site EUI metrics
• Comparison against BERDO 2.0 thresholds by property type
• Generation of a digitally timestamped, city-compliant PDF filing document
• Encrypted delivery of the completed filing to your email address

2. Eligibility

You must be at least 18 years of age and have the legal authority to act on behalf of the property or organization for which you are filing. By using the Service you represent and warrant that you meet these requirements.

You agree that you will:

• Upload only authentic utility bills for properties you own or manage
• Provide accurate property information including gross floor area and property type
• Review the generated filing for accuracy before submitting it to the City of Boston
• Not upload documents containing malware, viruses, or malicious code
• Not attempt to circumvent the Service's security controls or access restrictions
• Not use the Service for any unlawful purpose
• Not misrepresent your identity or the property for which you are filing

7. Intellectual Property

The Service, including its software, design, and content, is owned by Sagacity Technology Group LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, sell, or reverse engineer any part of the Service.

The filing documents generated for you are your property. You own the output of your filing.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Sagacity Technology Group LLC's total liability to you for any claim arising from use of the Service shall not exceed the amount you paid for the specific filing giving rise to the claim ($499.00)
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for regulatory penalties imposed by the City of Boston or any other authority
• We are not liable for losses arising from AI extraction errors where you failed to review the output before submission

9. Indemnification

You agree to indemnify and hold harmless Sagacity Technology Group LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your submission of inaccurate property or utility data.

10. Termination

We reserve the right to refuse service to any user at our sole discretion, including for violation of these Terms, fraudulent activity, or abuse of the Service. Termination does not entitle you to a refund for completed filings.

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Suffolk County, Massachusetts, and you consent to the exclusive jurisdiction of those courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be indicated by updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
